How to Choose a Registered Office for a Jakarta Company

Choosing a Jakarta company address is more than selecting a prestigious building or the cheapest virtual-office package. The address must work for company registration, document delivery, OSS licensing, spatial compatibility and the way the business will actually operate.

Under Article 5 of Law No. 40 of 2007 on Limited Liability Companies, a company must have a full address corresponding to its place of domicile and must state its name and full address in company correspondence, announcements, printed materials and deeds in which it is a party.

The official legislation database continues to list Law No. 40 of 2007 as in force, subject to later amendments.

Choose Registered Office Jakarta Company: Start With the Legal Address

The registered address should be a location the company can document and continue using for official corporate purposes. It should not be chosen only because the address looks attractive on a website or business card.

Before incorporation, confirm:

  • the complete street and building address
  • the city and province that will correspond to the company’s stated domicile
  • who controls or manages the premises
  • what document can support the company’s use of that address
  • whether official correspondence can reliably be received there
  • whether the address will remain available after incorporation

This matters because changing the address shortly after setup can create another round of corporate, tax or licensing updates.

Registered Address and Business Activity Location Are Not the Same Check

A company’s legal address and its actual operating location should be reviewed separately.

For OSS licensing, Article 36 of Minister of Investment and Downstream Industry/Head of BKPM Regulation No. 5 of 2025 requires a land-based business activity location to use a detailed business-location address.

The same Article 36 states that land-location data is integrated between OSS and the system administered for agrarian affairs, spatial planning and land matters.

For a software or consulting company, the corporate address and day-to-day work location may be relatively simple to align. A restaurant, warehouse, factory, workshop, clinic or other site-dependent activity creates a different problem because the physical activity itself must be compatible with the proposed location and the licences attached to that project.

The safe approach is not to assume that because an address can be written into incorporation documents, every KBLI can also operate there.

What Address Evidence Is Needed for PT Formation?

The formation-document rules changed in late 2025.

The official legislation database lists Minister of Law Regulation No. 49 of 2025 as in force and records that it revoked Minister of Law and Human Rights Regulation No. 21 of 2021.

For a capital-based PT, Article 6 of Minister of Law Regulation No. 49 of 2025 requires formation supporting documents to include either a copy of a statement regarding the company’s full address from the building manager or authorized institution, or an original declaration of the full address signed by the company’s board of directors.

That makes address evidence a formation issue, not something to solve after the company has already been incorporated.

Before giving an address to the notary, ask the building owner, landlord, serviced-office provider or building manager what written address evidence they can provide and whether the company name can actually be registered and receive correspondence at the location.

Check Spatial Compatibility Before Signing a Lease

A registered office is only one part of the location decision. If the company will carry out physical business activity at the premises, spatial suitability needs separate attention.

Before signing a long lease, founders can use the official OSS Interactive RDTR tool as an initial spatial-planning check for the proposed business location.

Do the check using the actual business activity, not merely the generic label ‘office.’ For example, a company might be incorporated as a PT with an office address while separately planning a warehouse, workshop or customer-facing facility whose location must be assessed for that real use.

A useful order is:

  1. identify the KBLI activities the company will actually conduct
  2. identify which activities occur at the proposed address
  3. check the spatial or location route generated through OSS
  4. confirm building or landlord restrictions
  5. only then commit to a long lease or major fit-out

This sequence reduces the risk of choosing an address first and discovering later that the intended operation belongs elsewhere.

Physical Office or Virtual Office?

Neither option is automatically better. The right choice depends on what the company needs the address to do.

A physical office is usually easier to evaluate where staff work daily at the premises, customers visit, stock is stored, technical equipment is installed or the activity depends on a particular site.

A virtual office can be more practical for a business whose primary need is an administrative address and that does not require substantial physical operations at that location. But founders should not treat the phrase ‘virtual office’ as universal legal clearance for every activity.

Before choosing one, verify:

  • whether the provider can supply the address documentation needed for company formation
  • whether the address can receive official correspondence reliably
  • whether your intended OSS activity can use that location
  • whether the actual business is conducted somewhere else and must be separately registered as an activity location
  • whether the arrangement works for the company’s tax and PKP position
  • how long the address contract will remain valid

If the business model later requires a factory, clinic, warehouse, restaurant or other operational site, plan that project location separately from the administrative address.

Virtual Office Tax and PKP Checks

Tax treatment adds another decision layer.

For tax administration, Article 51 of DJP Regulation PER-07/PJ/2025 allows a corporate taxpayer to use a virtual office as the place of PKP registration in specified circumstances.

That rule should not be read as a universal statement that every licensed activity can operate from a virtual office. It addresses tax administration. OSS location requirements, sector licences and the company’s real operating model still need their own review.

For a founder, the practical question is therefore not simply, ‘Is a virtual office legal?’ The better question is, ‘Does this particular virtual-office arrangement work simultaneously for our company registration, OSS activities and tax profile?’

Registered Office Decision Matrix

The table below helps compare candidate addresses before the company commits to one.

CheckPhysical officeVirtual or serviced officeWhat to verify
Company address evidenceUsually available from owner or building managerDepends on providerObtain the required written address evidence before incorporation
Official mailDirect to premisesUsually managed by providerConfirm notification and collection procedures
Daily staff useSuitableDepends on packageCheck whether workspace is actually available when needed
Customer visitsUsually easierMay require meeting-room accessConfirm building and provider rules
Equipment or stockPotentially suitableUsually limitedOperational site may need to be elsewhere
OSS activity locationMust match actual activityMust be checked activity by activityDo not assume company address equals operating location
Spatial compatibilityCheck actual planned useCheck if business activity is attached to the addressReview OSS/RDTR route where applicable
PKP useReview normal tax-registration factsSpecific virtual-office conditions applyConfirm current DJP requirements
Contract continuityDepends on leaseDepends on service contractAvoid an address likely to change immediately after incorporation

The matrix shows why price should not be the first filter. An inexpensive address can become costly if it cannot support the company’s documentation, business activity or future operating model.

Avoid an Address Change Immediately After Incorporation

Changing office later is possible, but avoid building the initial setup around an address you already expect to abandon in a few months.

Before incorporation, ask what the company is likely to need during its first one to two years. Will the business remain remote? Will it hire a local team? Will customers visit? Will inventory or equipment be stored? Will the company seek PKP status? Will another operating site be required?

A software consultancy may be comfortable with an administrative address and flexible workspace. A manufacturing company may use a corporate office while separately registering and licensing its factory location. A retail or hospitality business will typically need much more attention to the actual customer-facing site.

The objective is not to predict every expansion. It is to avoid selecting an address that conflicts with the company’s known operating plan from day one.

Jakarta Legal ID’s NIB and OSS registration guide provides broader context on how company activities move into the OSS licensing system.

For founders who need implementation support, Jakarta Legal ID currently lists PT PMA/PMDN setup, NIB OSS and business licensing among its services.

Conclusion

To choose a registered office for a Jakarta company, start with the legal address requirement but do not stop there. Confirm that the address can be documented for PT formation, can reliably receive company correspondence and fits the company’s expected duration at the location.

Then review the actual business activities separately in OSS. A registered company address is not automatically proof that every operational activity can be carried out at that location.

For asset-light companies, a virtual or serviced office may be worth evaluating when the documentation, OSS and tax conditions fit. For site-dependent businesses, the physical operating location should drive the licensing analysis. The best registered office is therefore the address that works across corporate registration, actual operations and the company’s near-term compliance plan.

FAQ – Choose Registered Office Jakarta Company

Does an Indonesian PT need a full registered address?

Yes. The Company Law requires a company to have a full address corresponding to its place of domicile, and current PT formation rules require supporting documentation or a declaration concerning the full address.

Can the registered office be different from the company’s operational location?

The corporate address and OSS business-activity location are separate data and compliance questions. If operations occur at another site, that activity location should be reviewed and registered according to the applicable OSS and sector requirements.

Can a Jakarta company use a virtual office?

A virtual office can be workable in some situations, but suitability depends on the company’s formation documentation, actual business activities, OSS location requirements and tax position. It should not be assumed suitable for every KBLI.

Should I check zoning before signing an office lease?

Yes, particularly when the proposed premises will be an actual business-activity location. Review the activity against the current OSS spatial-planning route before making a long-term commitment.

What document proves the address during PT formation?

Under Minister of Law Regulation No. 49 of 2025, the formation supporting documents include a statement concerning the company’s full address from the building manager or authorized institution, or an original full-address declaration signed by the board of directors.

Does a virtual office automatically work for PKP registration?

Current DJP rules provide a virtual-office route for corporate PKP registration under specified conditions. The company’s actual facts should be checked against those conditions rather than assuming eligibility automatically.
